1. Agreement to These Terms
These Terms of Service ("Terms") form a legally binding agreement between you and cloudscode ("we", "us", "our"). By creating an account or using cloudscode.com or any of our hosted services (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.
2. Definitions
- "Service" means cloudscode.com, the cloud terminal, dashboard, APIs, documentation, and all related software and infrastructure we operate.
- "Account" means the user record we create when you sign up, including your tenant subdomain and plan tier.
- "Tenant Container" means the dedicated Docker container we provision for your Account, including its named volumes and runtime state.
- "Your Content" means any code, files, configuration, prompts, terminal input, and output that you create, upload, store, or process through the Service.
- "BYOK" ("bring your own key") means API keys you provide for third-party AI vendors (Anthropic, OpenAI, Google).
3. Acceptable Use
You agree not to use the Service to do, or attempt to do, any of the following:
3.1 Illegal or harmful content
- Violate any law, regulation, or third-party right.
- Generate, distribute, or store child sexual abuse material (CSAM), terrorist content, or other content prohibited by law.
- Engage in fraud, identity theft, phishing, or other deception.
- Distribute malware, ransomware, or other malicious code.
3.2 Abuse of the Service
- Attempt to gain unauthorized access to other tenants' containers, data, or accounts.
- Probe, scan, or test the vulnerability of any system or network without our written permission. (Coordinated security research is welcome — email security@cloudscode.com first.)
- Interfere with or disrupt the integrity or performance of the Service or the data it contains.
- Bypass rate limits, quotas, or other technical controls.
- Resell, sublicense, or rent the Service without a written agreement.
3.3 Resource abuse
- Use the Service for cryptocurrency mining, distributed computing for hire, or similar resource-extraction workloads.
- Run sustained workloads that exceed the resource quotas of your plan in a way that materially impacts other tenants on shared infrastructure.
- Operate large public-facing services (high-traffic websites, public APIs, video streaming) out of a Tenant Container without an Enterprise agreement.
3.4 Spam and harassment
- Send unsolicited bulk email, SMS, or other commercial communications from the Service.
- Harass, threaten, or impersonate any person.
- Use the Service to surveil, dox, or stalk individuals.
We reserve the right to investigate suspected violations, suspend offending Accounts, preserve evidence, and cooperate with lawful requests from authorities. We will give you notice of any suspension when reasonable and not legally prohibited.
4. Account Responsibilities
- One human, one account. Do not share login credentials. Each human user needs their own account.
- Accurate information. Keep your contact email, billing details, and team membership accurate.
- Security. You are responsible for the security of your sign-in method (Google account, SSO provider). Notify us immediately at security@cloudscode.com if you suspect unauthorized access.
- Your Content. You retain all rights to Your Content. You grant us a limited license to host, transmit, and process Your Content solely to operate the Service for you. We do not use Your Content to train AI models, ours or anyone else's.
- BYOK. You are responsible for the cost and terms of any third-party API keys you provide. We do not log, store outside encrypted state, or proxy your BYOK calls.
- Compliance. You are responsible for ensuring that your use of the Service complies with the laws that apply to you and your industry.
5. Service Availability
We target 99.9% monthly uptime for the control-plane API and Tenant Container availability. Transient outages may occur. The Service is provided as-is during the MVP phase, without a formal SLA. We will give reasonable notice for changes that materially reduce functionality. Beta or experimental features may change or be removed without notice.
6. MVP Phase
cloudscode is free to use during MVP. No payment terms apply at this time. There are no fees, no invoices, no payment methods on file, and no billing cycles.
- No payment processing. We do not currently collect, store, or charge any payment information.
- Future paid tiers. If and when we introduce paid tiers, we will announce the change at least 30 days in advance via email to all Account holders and on cloudscode.com. Continued use after the effective date will be subject to the updated commercial terms.
- Early-user grandfathering. Existing free-tier users at the time we ship paid plans will receive a written grandfather offer with details on the credit, discount, or transition path applicable to them.
- No surprise charges. We will never charge an Account that has not explicitly opted into a paid plan with a payment method.
7. Termination
7.1 By you
You may cancel your Account at any time from the dashboard or by emailing hello@cloudscode.com. On cancellation:
- Your Tenant Container continues running for up to 7 days, then is paused.
- You can export Your Content at any point before deletion.
- 30 days after cancellation, we permanently delete your Tenant Container, all volumes, and all backups.
7.2 By us
We may suspend or terminate your Account if:
- You materially breach these Terms (and have not cured a breach we notified you about within 14 days, where the breach is curable).
- Required by law, court order, or to protect the safety of users or the Service.
- You have not signed in for 12 consecutive months (we will email you 30 days before deletion).
On termination by us, you may export Your Content for 30 days unless prohibited by law.
7.3 Survival
Sections that by their nature should survive termination (Liability Limits, Indemnification, Disputes, definitions) survive.
8. Liability Limits
Read this section carefully — it limits our liability to you.
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or accuracy.
- We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill, even if we have been advised of the possibility of such damages.
- Our total cumulative liability arising out of or related to these Terms or the Service, regardless of theory (contract, tort, or otherwise), will not exceed the greater of (a) USD $100, or (b) the fees you paid us for the Service in the 12 months preceding the event giving rise to liability.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In those jurisdictions, the above limitations apply only to the maximum extent permitted, and nothing in these Terms limits liability that cannot be limited under applicable law (such as gross negligence, willful misconduct, or fraud).
9. Indemnification
You agree to indemnify, defend, and hold harmless cloudscode and its officers, directors, employees, and contractors from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of or related to:
- Your Content, or the use, storage, or transmission of Your Content through the Service.
- Your violation of these Terms or any applicable law.
- Your violation of the rights of any third party, including intellectual-property or privacy rights.
- Any claim that your use of the Service caused damage to a third party.
We will give you prompt notice of any claim and reasonable cooperation at your expense. You may not settle any claim that imposes liability or obligations on us without our written consent.
10. Disputes
10.1 Informal resolution first
Before filing a formal claim, please email hello@cloudscode.com with the subject line "Dispute" and a description of the issue. We commit to good-faith discussion for at least 30 days. Most issues resolve here.
10.2 Governing law and jurisdiction
Disputes are governed by the laws of the jurisdiction in which you (or the entity you represent) are incorporated or principally domiciled, without regard to conflict-of-laws principles. Disputes will be resolved exclusively in the competent courts of that jurisdiction, unless mandatory consumer-protection laws of your country of residence give you a different right.
This means a US-incorporated company files in the US, an EU-incorporated company files in the relevant EU member state, and so on. We chose this approach because it is fair to you and avoids forcing you to travel to litigate.
10.3 No class actions
To the maximum extent permitted by law, you and we agree that any dispute will be resolved on an individual basis. Class actions, class arbitrations, and representative actions are not permitted, except where applicable law expressly preserves your right to bring them.
10.4 Time limit
Any claim related to these Terms or the Service must be filed within one year after the cause of action arises, or it is permanently barred — except where a longer period is required by law.
11. Modifications
We may update these Terms when our practices change, when we add features, or when laws change. When we make a material change:
- We update the "Last updated" date at the top of this page.
- We email all Account holders at least 30 days before the change takes effect.
- If you continue to use the Service after the effective date, you accept the updated Terms. If you do not accept, you may cancel before the effective date.
Older versions are kept in our public Git history at github.com/cloudscode. You can diff any two versions to see exactly what changed.
